We reserve the right to modify, suspend, or discontinue any aspect of the Platform at any time, with or without notice.

3. Use License

Subject to your compliance with these Terms, ThreatDefender.net grants you a limited, non-exclusive, non-transferable, revocable license to:

  • Access and use the Platform for your internal business purposes
  • Use our APIs in accordance with our API documentation and rate limits
  • Download and use reports and data generated by the Platform

This license does not permit you to:

  • Resell, sublicense, or redistribute the Platform or our services
  • Reverse engineer, decompile, or disassemble any part of the Platform
  • Use the Platform for any illegal, harmful, or malicious purposes
  • Attempt to gain unauthorized access to our systems or networks
  • Remove, modify, or obscure any proprietary notices or labels

4. User Accounts and Registration

To access certain features of the Platform, you must register for an account. You agree to:

  • Provide accurate, current, and complete information during registration
  • Maintain and promptly update your account information
  • Maintain the security and confidentiality of your account credentials
  • Immediately notify us of any unauthorized access or security breach
  • Accept responsibility for all activities that occur under your account

You may not share your account credentials or allow others to access your account. You are fully responsible for all activities conducted through your account.

5. Acceptable Use Policy

You agree not to use the Platform to:

  • Violate any applicable laws, regulations, or third-party rights
  • Engage in or facilitate illegal activities, including hacking or unauthorized access

6. Intellectual Property Rights

The Platform and its original content, features, functionality, and all related intellectual property are owned by ThreatDefender.net and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

Our trademarks, service marks, and logos may not be used without our prior written consent. All other trademarks appearing on the Platform are the property of their respective owners.

Your Content: You retain ownership of any data, information, or content you submit to the Platform. By submitting content, you grant us a worldwide, non-exclusive, royalty-free license to use, process, and analyze such content solely to provide our services to you.

7. Billing and Payments

If you purchase a subscription or services from ThreatDefender.net:

  • Fees: You agree to pay all fees associated with your selected plan or services.
  • Billing Cycle: Subscription fees are billed in advance on a monthly or annual basis, as selected.
  • Payment Methods: We accept major credit cards and other payment methods as indicated during checkout.
  • Auto-Renewal: Subscriptions automatically renew unless canceled before the renewal date.
  • Price Changes: We may change our fees with 30 days' notice. Continued use after a price change constitutes acceptance.
  • Refunds: Refunds are provided at our sole discretion and in accordance with our refund policy.
  • Taxes: You are responsible for all applicable taxes, which may be added to your invoice.

8. Service Level and Availability

While we strive to provide continuous, uninterrupted service:

  • We do not guarantee that the Platform will be available 100% of the time
  • Scheduled maintenance may require temporary service interruptions
  • We are not liable for downtime, service interruptions, or data loss
  • Service Level Agreements (SLAs) may be provided under separate enterprise agreements

9. Data Security and Privacy

We take data security seriously and implement industry-standard security measures to protect your information. However:

  • No system is completely secure, and we cannot guarantee absolute security
  • You are responsible for maintaining the security of your account credentials
  • Our data handling practices are detailed in our Privacy Policy
  • You must comply with all applicable data protection laws when using our Platform

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

  • ThreatDefender.net shall not be liable for any indirect, incidental, special, consequential, or punitive damages
  • This includes damages for loss of profits, data, use, goodwill, or other intangible losses
  • Our total liability shall not exceed the amount you paid us in the 12 months preceding the claim
  • These limitations apply regardless of the legal theory (contract, tort, negligence, etc.)
  • Some jurisdictions do not allow these limitations, so they may not apply to you

11. Disclaimer of Warranties

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

  • Implied warranties of merchantability, fitness for a particular purpose, and non-infringement
  • Warranties that the Platform will be error-free, secure, or uninterrupted
  • Warranties regarding the accuracy, reliability, or completeness of content or data

We do not warrant that the Platform will meet your specific requirements or that defects will be corrected.

12. Indemnification

You agree to indemnify, defend, and hold harmless ThreatDefender.net, its officers, directors, employees, agents, and affiliates from any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising from:

  • Your use or misuse of the Platform
  • Your violation of these Terms
  • Your violation of any rights of third parties
  • Your violation of applicable laws or regulations

13. Termination

By You: You may terminate your account at any time through your account settings or by contacting us.

By Us: We may terminate or suspend your account immediately, without prior notice or liability, for any reason, including:

  • Breach of these Terms
  • Fraudulent, abusive, or illegal activity
  • Non-payment of fees
  • Extended inactivity
  • Our business decision to discontinue the Platform

Effect of Termination: Upon termination, your right to use the Platform will immediately cease. We may delete your account data in accordance with our data retention policies.

14. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the United States and the State of Delaware, without regard to conflict of law provisions.

Any disputes arising from these Terms or your use of the Platform shall be resolved in the state or federal courts located in Delaware, and you consent to the exclusive jurisdiction of these courts.

15. Dispute Resolution and Arbitration

For disputes not resolved through informal negotiation, you agree to binding arbitration in accordance with the rules of the American Arbitration Association, except as follows:

  • Small claims court may be used for disputes within its jurisdiction
  • We may seek injunctive relief in court for intellectual property violations
  • Class action lawsuits and class arbitrations are not permitted

16. Export Controls

The Platform may be subject to export control laws and regulations. You agree to comply with all applicable export and import laws and not to export, re-export, or transfer the Platform to prohibited countries, entities, or persons.

  • Any damages or losses resulting from your use of third-party services
